% 06.05.2016 CA No. 2562/2015 (condonation of delay) This application seeks condonation of delay of 126 days on the part of the Regional Director in filing the affidavit. For the reasons stated in the application, the delay is condoned and the aforesaid affidavit is taken on record.

The application is disposed off.

CO.PET. 45/2015 & CA No. 3656/2015 Counsel for the petitioner states that the second motion petition under Section 391 read with Section 394 of the Companies Act, 1956, in respect of a scheme of demerger, has been moved by his client pursuant to the orders passed by this Court on 22nd December, 2014 in the First Motion Petition being Co.Appl. (M) No.147/2014. He further submits that he is instructed to withdraw the petition since the petitioners do not wish to proceed with the scheme for the time being.

Consequently and as prayed, the petition, along with pending application, is dismissed as withdrawn.
