The grievance of the Petitioner as articulated in the present Petition is limited for directions to the Respondents to decide the representation of the Petitioner dated 26.07.2024.

The representation of the Petitioner is in the form of a complaint made under Section 246 of the Companies Act, 2013 by the Petitioner against a company and its directors.

Learned Counsel for the Respondents, on instructions, submits that the complaint is prima facie not maintainable. However, he submits that the Respondents will examine the representation of the Petitioner and give a reasoned speaking order on the same.

Accordingly, and with the consent of the parties, the Petition is taken up for hearing and disposal, at this stage and the following directions are passed:
(i) The Respondents shall treat present Petition filed by the Petitioner as By:HONEY ARORA 10:47:44 W.P.(C) 12856/2024
a representation;
(ii) The Petitioner and/or his authorized representative will be given an opportunity to be present for a hearing at the Office of Ms. Seema Rath, Registrar of Companies, NCT of Delhi, 4th Floor, IFCI Tower, 61, Nehru Place, New Delhi-110019 on 19.08.2025 at 2:30 PM; (iii) The Petitioner is permitted to produce any additional facts or documents in support of his contentions, at the time of the hearing before the concerned Authority;
(iv) In the event, if it is deemed necessary, that there is a need for more than one hearing, the Petitioner and the Respondents may mutually schedule such additional hearings amongst themselves as well; (v) The Respondents shall pass a speaking order within 8 weeks of conclusion of the hearing(s); and (vi) The speaking order shall be communicated within a week to the Petitioner under acknowledged postal service and e-mail. 7.
The Petition is disposed of in the aforegoing terms. 8.
Needless to add, that in the event the Petitioner is aggrieved with the order passed by the Respondents, he may take appropriate steps in accordance with the law. All rights and contentions of the parties are left open in this regard.
