Directors have not visited the office of the OL despite several opportunities to have their statement recorded. The Ex. Directors have also not filed the Statement of Affairs. Their registered office has also shifted and is lying locked. It is pointed out that there are no assets of the respondent company and no fruitful purpose would be served if the company continues to remain in liquidation. Application is allowed. CO.PET. 237/2010 The company is dissolved under section 481 of the Companies Act.. OL is directed to close the accounts of the company. Filing of annual returns is dispensed with.
