The present petition has been filed under Section 11(6) of the Arbitration and Conciliation Act, 1996 ("Arbitration Act"), seeking appointment of a Sole Arbitrator for adjudication of the disputes between the parties, arising out of the Loan Agreement dated 18th November, 2023. 2.
As per the submissions made before this Court, the Loan Agreement dated 18th November, 2023, was executed between the parties for a period of 36 months, and a loan amount of Rs. 30,35,823/- was advanced to the respondents towards the same, with the agreed rate of interest @ 18.5% per annum.

Learned counsel for the petitioner submits that on account of default by the respondents in making the payments, the petitioner issued a Loan Recall Notice dated 14th July, 2025, claiming the outstanding debts from the respondents, which is yet to be paid by the respondents to the petitioner. 5.
Learned counsel appearing for the petitioner has drawn the attention of this Court to the Notice dated 14th August, 2025 under Section 21 of the Arbitration Act, sent by the petitioner to the respondents, thereby, invoking arbitration between the parties, in terms of the arbitration clause, i.e., Clause 8.2 of the Loan Agreement dated 18th November, 2023, to which no reply was made by the respondents.

None appears for the respondents when the matter is called out today. 7.
This Court on the last date of hearing, vide Order dated 13th January, 2026, had noted that this Court shall proceed with the matter, if the respondents fail to appear. The Order dated 13th January, 2026, is reproduced as under:

None appears for the respondents when the matter is called out. 2.
As per the Office Noting, respondent nos. 1 to 3 stand served. 3.
Accordingly, let reply be filed, within a period of two weeks, from today.

It is made clear that, in case, no appearance is made on behalf of the respondents on the next date, or no reply is filed, this Court shall proceed with the matter.

which have been provided by the respondents in the Loan Agreement, at Schedule-I, where details of the respondents have been noted. 11.
At this stage, attention of this Court has been drawn to arbitration clause, i.e., Clause 8.2 of the Loan Agreement, which reads as under: "xxx xxx xxx xxx xxx xxx"

Perusal of the aforesaid arbitration clause shows that the seat of the Arbitration shall be at Delhi.

Learned counsel for the petitioner submits that the approximate claim amount is to the tune of Rs. 21,06,392.04/- (Rupees Twenty-One Lacs Six Thousand Three Hundred and Ninety-Two and Four Paise Only). He submits that the arbitration may be referred to the Delhi International Arbitration Centre ("DIAC").

Accordingly, this Court is satisfied that there are disputes between the parties and there is a valid arbitration clause, and accordingly the disputes are to be adjudicated by way of referring the parties to arbitral proceedings. 15.
Accordingly, considering the submissions made before this Court, the following directions are issued:

as a Sole Arbitrator to adjudicate the disputes between the parties. ii) The arbitration proceedings shall be held under the aegis and Rules of DIAC, Delhi High Court, Sher Shah Road, New Delhi. iii) The remuneration of the Sole Arbitrator shall be in terms of DIAC (Administrative Cost and Arbitrators' Fees) Rules, 2018. iv) The Sole Arbitrator is requested to furnish a declaration in terms of Section 12 of the Arbitration Act prior to entering into the reference. In the event of any impediment to the Arbitrator's appointment on that count, the parties are given liberty to file an appropriate application before this Court. v) It shall be open to the respondents to raise counter-claims, if any, in arbitration proceedings.
vi) It is made clear that all the rights and contentions of the parties, including, as to the arbitrability of any of the claim, any other preliminary objection, as well as claims/counter-claims and merits of the dispute of either of the parties, are left open for adjudication by the Sole Arbitrator. vii) The parties shall approach the Sole Arbitrator within two (02) weeks, from today.

Needless to state, nothing in this order shall be construed as an expression of this Court on the merits of the case. 17.
The present petition, along with the pending application, is disposed of in the aforesaid terms.

The Registry is directed to send a copy of this order to the Secretary, DIAC for information and compliance.
