O R D E R

% 10.01.2017 CO.APPL. 55/2017 The present application on behalf of the petitioner under Order XXIII Rule 3 with Section 151 of the Code of Civil Procedure, 1908 prays as follows: "a) Pass an order or direction directing disposal of the present petition in terms of the settlement arrived at between the Parties and record the same as being lawful;

b) Pass such other further orders as this Hon'ble Court may deem fit and proper in the facts and circumstances of the present case;

c) Any further order, as this Hon'ble Court deems fit and proper in the facts and circumstances of the present case, may also be passed."

Learned counsel appearing on behalf of the petitioner states that the parties have arrived at an amicable resolution of the underlying dispute and the terms and conditions of the settlement are enshrined in the Settlement Deed dated 22.12.2016, a copy of which has been placed on record. Learned counsel appearing on behalf of the petitioner further states that in terms of the aforesaid settlement dated 22.12.2016, the petitioner has received a sum of Rs.13,43,950/-

as full and final satisfaction of the claim of the petitioner in the accompanying winding up petition.

In view of the foregoing, learned counsel appearing on behalf of the petitioner prays for leave to withdraw the accompanying winding up petition. The said Settlement Deed dated 22.12.2016, entered into between the parties herein is lawful and the same is taken on record. The parties shall abide by the terms and conditions of the said Settlement Deed dated 22.12.2016, without demur. The petitioner is permitted to withdraw the accompanying winding up petition.

The application is disposed of accordingly.

CO.PET. 1074/2016 In view of the above the present company petition is dismissed as withdrawn and disposed of accordingly. Pending applications, if any, also stand disposed of.
