% 15.07.2016 IA No.8175/2016 (of plaintiff and D-1 to 11 u/O 23 R-3 CPC) 1.

The two plaintiffs and the defendants No.1 to 11 seek disposal of this suit (for declaration that the plaintiffs continue to be Directors of the defendant No.1 company and also for cancellation of certain minutes of the meetings of the Board of Directors and Share Transfer Forms) in terms of the compromise contained in the Settlement Agreement dated 4th July, 2016 annexed to the application.

The counsel for the plaintiffs and the counsels for the defendants No.1 to 11 support the compromise and state that the application for compromise CS(OS) 166/2015

as well as the Settlement Agreement are signed by each of the two plaintiffs and defendants No.1 to 11 / their authorised representatives and the application is also supported by the affidavits of the said persons. 3.

Though in the suit as originally filed there were twelve defendants but the defendant No.12 Registrar of Companies was deleted vide order dated 19th January, 2015.

I have perused the terms of the Settlement Agreement and find the compromise arrived at between the parties to be lawful. 5.

The application is allowed; the suit is decreed in terms of the compromises arrived at between the parties and as contained in the compromise application and annexure thereto and leaving the parties to bear their own costs.

The compromise application and the Settlement Agreement dated 4th July, 2016 to form part of the decree sheet.

7.

Decree sheet be drawn up.

8.

The date of 26th August, 2016 is cancelled.
