Order:

This Company Petition is filed for approving the scheme of amalgamation of the petitioner- Transferor Company with M/s.R.V.K. Energy Private LimitedTransferee Company. By Order, dated 29-04-2014, this Court has ordered notices to the Regional Director, South Eastern Region, Ministry of Corporate Affairs, Hyderabad, and the Official Liquidator attached to this Court, besides directing publication of notice in the newspapers. The petitioner has, accordingly, carried out the paper publication.

On one of the previous dates of hearing, both Mr.M.Anil Kumar, learned Counsel for the Official Liquidator, as well as Mr.B.Narayan Reddy, learned Assistant Solicitor General, have brought to the notice of the Court that certain documents containing the information sought by their respective clients i.e., the Official Liquidator and the Regional Director, South Eastern Region, Ministry of Corporate Affairs, Hyderabad, have not been furnished by the petitioner. Thereafter, the case was adjourned many times on the representation of the learned Counsel for the petitioner that the information sought by them will be furnished. Today, Mr.V.S.Raju, learned Counsel for the petitioner, submitted that as the consents of some of the secured creditors of the petitioner- Transferor Company could not be obtained, the information sought by the Official Liquidator and the Regional Director could not be furnished. He has, therefore, requested for closing this Company Petition with liberty to the petitioner to file a fresh one as and when its secured creditors give their consent.

In view of the above facts and circumstances, this Company Petition is closed with liberty to the petitioner in terms of the prayer made.
