ORDER:
This Company Application is filed by M/s DT Tubes Private Limited ("Transferor Company") for dispensing with the holding of meeting of its share holders.
The applicant pleaded that it was incorporated under the Companies Act, 1956 on 28.05.2004; that its main objects inter alia are to carry on the business of manufacture, importers, exporters, dealers in all kinds of tubes and pipes, pipe fittings of steel, brass, copper, cast iron, rubber, polythene, Aluminium, stainless steel and other materials and machinery equipment tools and tackles for the manufacture of such items, etc; that its authorized share capital is Rs.1 crore divided into 1,00,000 equity
shares of Rs.10/- each; that its issued, subscribed and paid up capital is Rs.79,00,000/- divided into 79,000 equity shares of Rs.10/- each; and that through the Board Resolution, dated 15.12.2014, its Board of Directors has approved the proposed scheme of amalgamation of the applicant into M/s Deccan Strips & Tubes Private Limited (transferee company).
The applicant has averred that it has five shareholders, who have given their consent affidavits, filed as Annexure-A6 (pages 131 to 136), to the proposed scheme of amalgamation. The applicant has filed the Board Resolution, dated 15.12.2014, (Annexure-A7).
In the light of the above facts pleaded by the applicant, supported by the documentary evidence, this Court is of the opinion that no purpose will be served by directing holding of the meeting of its shareholders for discussing the proposed scheme of amalgamation.
