This Company Petition is filed for an order to wind up the respondent- Company for nonpayment of the debt due to the petitioner. At the hearing, the learned Counsel for both the parties submitted that the parties have entered into a compromise and reduced the terms

into writing. They have also placed before the Court a Memorandum, dated 31-08-2015, containing 'Consent Terms'. Both the learned Counsel have, accordingly, requested the Court to place on record the said Memorandum of Consent Terms and close the Company Petition.

The request of the learned Counsel for both the parties is accepted.

The Memorandum of Consent Terms is, accordingly, placed on record and the Company Petition is closed in accordance therewith.

As a sequel to closure of the Company Petition, Application Nos.977, 978 and 979 of 2015, filed by the petitioner for interim relief, are disposed of as infructuous.
