This Company Application is filed by K.S. Property Developers Private Limited-First resulting Company for a direction to dispense with the meeting of share holders for consideration of the proposed scheme of its arrangement with M/s. Srinivasa Hair Industries Private LimitedD-Merged Company. It is submitted by the learned counsel for the applicant that there are two shareholders of the applicant company and the entire shares of the company are held by both the share holders. As can be seen from the certificate issued by the Company Secretary M/s.P.S. Rao and Associates, there are only two share holders holding the entire share capital. Like wise both the share holders have filed their consent affidavits marked as Annexure-G. As per the certificate of the Chartered Accountant, they do not have any secured or unsecured creditors as on 17.06.2016. Accordingly, the share holders meeting is dispensed with.
