This Company Application is filed by the petitioner/transferor company No.2 seeking a direction to dispense with the meeting of share holders for consideration of the proposed scheme of its amalgamation with Tata Business Support Services Limited (Transferee Company).

It is submitted by the learned counsel for the applicant that the applicant company is wholly owned subsidiary of the transferee company. The transferee company holds 9,99,400 shares in the applicant company. The remaining 600 shares are held by the transferee company jointly with six other individual share holders. The share holders have filed their consent affidavits. Further, there are no secured and unsecured creditors.
