ORDER

This application is filed by the transferee company seeking to dispense with convening the meeting of the shareholders for the purpose of considering the proposed scheme of amalgamation, which is filed along with the present application. As per the affidavit, there are three shareholders, who have given written consent for the proposed scheme of amalgamation/arrangement and the affidavits of the shareholders are also filed along with the application. The affidavit is signed by the shareholder, who is having 44.45% shareholding in the company. No application is filed for dispensing with the meeting of the unsecured creditors as liability appears to be Rs.30,46,892/- and the same will be taken into consideration at the time of hearing the main petition.

Accordingly, the Company Application to dispense with convening the meeting of the shareholders of the applicant/transferee company for the purpose of considering the proposed scheme of Amalgamation, is ordered. ___________________________________ JUSTICE A.RAMALINGESWARA RAO 21st November, 2016 rkk
