THE HON'BLE SRI JUSTICE CHALLA KODANDA RAM COMP.A.No.1067 OF 2016 ORDER:

This application is filed under Section 481 of the Companies Act, 1956 (for short, 'the Act') read with Rules 281, 282 & 9 of the Companies (Court) Rules, 1959 for dissolution of the Company.

The Official Liquidator prays for the following relief: i) "Report may kindly be perused. ii) In view of the peculiar facts and position explained in the report this Hon'ble Court may be pleased to from an opinion that circumstances for initiating action as envisages under Section 481 of the Companies Act, 1956 had been made out and it is just and reasonable in the circumstance of the case to order for the dissolution of the company.

iii) Dispense with the filing of Half Yearly Accounts for the period from 01-04-2015 till date.

iv) Dispense with the filing of the Final accounts of the companies since no realizations have been made in these companies in liquidation.

v) Order that the companies as per list enclosed herein and marked as Annexure- A be dissolved with effect from the date of the order. vi) Permit to deposit the unspent amount available in the funds of the company (In Liquidation) in the Account of Estate & Establishment Fund Account being maintained by the being Liquidator after meeting the incidental expenses of dissolution.

vii) Permit the Official Liquidator dispose of destroy the books of accounts and records of the company any day after expiry of 5 (five) years from the date of order of the dissolution of the company. viii) Permission be accorded for causing publication of the notice in The New Indian Express English daily and Andhra Jyothi Telugu daily of Hyderabad Editions for inviting objections in the newspapers as this Hon'ble Court may deem fit and proper and also for uploading the same on the website of the ministry of Corporate Affairs. ix) Permission be also accorded for incurring the expenses for publication and other incidental expenses from and out of funds of few companies in respect of which notice had been issued and pass such further order to order as this Hon'ble Court may deem fit and proper in the circumstances of the case."

Having regard to the facts and circumstances of the case, the Company Application is allowed.
