ORDER

This application is filed by the applicant-transferee company seeking to dispense with convening the meeting of the shareholders for the purpose of considering the proposed scheme of amalgamation, which is filed along with the present application. As per the affidavit, there are nine shareholders, who have given written consent for the proposed scheme of amalgamation and the affidavits of the shareholders are also filed along with the application. The affidavit is signed by the shareholder, who is having 13.56 shareholding in the company. There are no secured creditors in the applicant company.
