This Company Application is filed by Kanigolla Convention Centre and Hospitality Private Limited- Third Resulting Company for a direction to dispense with the requirement of holdering the meeting of the shareholders of the Applicant/Third Resulting Company. It is submitted by the learned counsel for the applicant that there are two shareholders of the applicant company and the entire shares of the company are held by them.

As can be seen from the certificate issued by the Company Secretary M/s.P.S. Rao and Associates marked as Annexure-G, there are only two share holders holding the entire shares. Like wise both the share holders have filed their consent affidavits marked as Annexure-H-1 and H-2. As per the certificate of the Chartered Accountant, they do not have any secured or unsecured creditors as on 17.06.2016.
