ORDER:

This Company Application is filed by M/s VASR Consultants and Financial Advisers Private Limited ("Transferor Company") for dispensing with the holding of meeting of its equity share holders. The applicant pleaded that it was incorporated under the Companies Act, 1956 on 28.03.2013; that its main objects inter alia are to carry on the business of engaging in all sorts and means of Financial Advisory Services and to act as consultants in the field of investment whether in India or abroad, etc; that its authorized share capital is Rs.12 crores divided into 1,20,00,000 equity shares of Rs.10/- each; that its issued, subscribed and paid up capital is Rs.11,74,88,000/- divided into 1,17,48,800 equity

shares of Rs.10/- each; that through the Board Resolution, dated 23.02.2015, (Annexure-A7) its Board of Directors has resolved to amalgamate the applicant-Company with M/s Trigeo Technologies Private Limited (transferee company); and that the appointed date is 01.04.2015.

The applicant has averred that it has three shareholders and all of them have given their consent affidavits, filed as AnnexureA6 (pages-104 to 107). In the light of the above facts pleaded by the applicant, supported by the documentary evidence, this Court is of the opinion that no purpose will be served by directing holding of meeting of the shareholders of the applicant-company for discussing the proposed scheme of amalgamation.
