Heard learned Company Prosecutor and have perused the averments made in the Official Liquidator's Report. The Registrar of Companies has already forwarded its 'No Objection Certificate' vide letter dated 2nd January,2018 which has been approved by the Office of the Official Liquidator. The Income Tax Department has also issued 'No Objection Certificate'. The voluntary liquidator has also submitted affidavit stating that there is no outstanding dues to any Government Department and no prosecution pending against the company in liquidation. It is stated in the report that the affairs of the company do not otherwise seem to have been conducted in a manner prejudicial to the interest of its members or to the public interest and thus company in liquidation would be treated as dissolved from the date of submission of the report in terms of the provisions of section 497(6) of the Companies Act, 1956. The statements made in the report are accepted. Report is made absolute in terms of prayer clause (a). No order as to costs.
