Heard learned counsel for the official liquidator. 2.

By this OLR, the official liquidator is seeking a direction for dissolving the company from the date of submission of this report, under Section 497(6) of the Companies Act, 1956. This is a case of voluntary winding up. The official liquidator has stated that the documents are in order.

This Court has also perused the resolution passed in the extraordinary general meeting of the company held on 10.10.2016, the declaration of solvency, no dues certificate issued by the Income Tax Department and status report submitted by the Assistant Registrar of Companies, certifying that there are no proceedings pending against the company.

In view of the above, the OLR is allowed in terms of prayer 1/2

6_OLR15_24.doc clause (a), which reads as follows:- "(a) In view of para (13) above, this Hon'ble Court may be pleased to direct that the aforesaid company viz. M/s. SIMA (India) Extrusion Technologies Private Limited (in Vol. Liqn.) be treated as dissolved from the date of submission of this report of this Hon'ble Court in terms of Section 497(6) of the Companies Act, 1956."
