Date : 13th March, 2015 MINUTES OF THE ORDER UPON the application of the Applicant above named by Company Summons for Direction AND UPON hearing Mr. Naser Ali Rizvi, instructed by M/s. Thakore Jariwala and Associates, Advocates for the Applicant Company AND UPON reading the Affidavit dated 14th February, 2015 of Mr. Sanjay Sidiq Ali Khan, Director of the Applicant Company, in support of Company Summons for Direction and the Exhibits therein, IT IS ORDERED THAT:
1. The convening and holding the meeting of the Equity Shareholders of the Applicant Company, for the purpose of considering and, if thought fit, approving, with or without modification(s), the Scheme of Amalgamation of Abilities Infrastructure Private Limited and Hi Skill Investment Consultancy Private Limited with Esskay Properties And Investments Private Limited, is dispensed with in view of the consent given by both the Equity Shareholders of the Applicant Company, which are annexed as Exhibits "C-1 and C-2" to the Affidavit in Support of the Company Summons for Direction.
2. There are no Secured Creditors of the Applicant Company, as mentioned in paragraph 25 of the Affidavit in Support of Company Summons for
Direction. Hence, the question of convening and holding the meeting of Secured Creditors does not arise.
3. The convening and holding the Meeting of the Unsecured Creditors, of the Applicant Company, for the purpose of considering and, if thought fit, approving, with or without modification(s), the Scheme of Amalgamation of Abilities Infrastructure Private Limited and Hi Skill Investment Consultancy Private Limited with Esskay Properties And Investments Private Limited, is dispensed with in view of consent given by the Unsecured Creditor of the Applicant Company, which is annexed as Exhibits 'D-1' to the Affidavit in Support of the Summons for Direction.
