Heard learned Company Prosecutor and perused the averments made in the Offcial Liquidator's Report. 2.
The Registrar of Companies has already forwarded its 'No Objection Certifcate' vide letter dated 3rd February 2022, which has been approved by the Offce of the Offcial Liquidator. 3.
The Income Tax Department has also issued 'No Objection Certifcate'. In the report, it is stated that there is no outstanding dues to any Government Department and no prosecution pending against the company in-liquidation. It is also stated that the affairs of the company do not otherwise seem to have been conducted in a manner prejudicial to the interest of its members Shraddha Talekar, PS 1/2
7-olr-24-2022.doc or to the public interest and thus company in liquidation would be treated as dissolved from the date of submission of the report in terms of the provisions of section 497(6) of the Companies Act, 1956. The statements made in the report are accepted. 4.
In view of the above, Offcial Liquidator's Report is made absolute in terms of prayer clause (a).
No order as to costs.
