The instant appeal is tendered objecting the order passed by the learned Single Judge in Company Petition No.1296 of 2015 decided on 14th February, 2019. The learned Single Judge issued the direction in respect of winding up of the company and it was further instructed to take up the proceeding in furtherance of the order.

The parties to the litigation have settled the dispute amicably and the terms of settlement are placed on record. The Consent Terms are signed by the authorised signatories 1/2

902-APPL118-19.DOC of the Appellant as well as the authorised signatories of the Respondent. The Consent Terms are duly signed by the Counsels appearing for the respective parties, who identify the signatories to the Consent Terms. The Consent Terms are read, recorded and accepted. The Consent Terms are taken on record and marked 'X' for identification.

As a consequence, the order passed by the learned Single Judge dated 14th February, 2019 as well as the correction carried out by virtue of order dated 27th February, 2019, in Company Petition No.1296 of 2015, stands quashed and set aside.

The appeal presented before this Court shall stand disposed of in accordance with the Consent Terms, marked 'X', which shall form part of the decree. There shall be no order as to costs.

In view of disposal of the Appeal, Notice of Motion (L) No.274 of 2019 does not survive and is disposed of accordingly.
