The present OLR is submitted in pursuance of order dated 16.02.2024 passed by this Court, whereby the official liquidator was directed to verify documents and to submit a report. 2.
The learned counsel for the official liquidator submits that the office of the official liquidator has verified all the documents. Attention of this Court is invited to the document at exhibit-F, which is a report of the Registrar of Companies, Pune, stating that as per the available record of the said office, there is no legal case / prosecution filed against the company - Shingijutsu Global Consulting (India) Private Limited. At exhibit-G is a certificate issued by the Deputy Commissioner of Income Tax, Circle-6, Pune stating that no demand is outstanding against the said company. 3.
In paragraph 15 of the OLR, the following statement is made:- "15.
That the Voluntary Liquidator and Ex-Directors have submitted the Affidavit of himself and Director(s) stating that after doing full enquiry into the affairs of the Company including the assets and liabilities of the Company they have MINAL SANDIP PARAB by MINAL SANDIP PARAB Date:

7_OLR31_24.doc declared that there were no outstanding dues to any Government Department and any future debt/claim that may arise shall be indemnified."

In view of the above, this Court is of the opinion that there is now no impediment in granting the direction sought in prayer clause (a) of the present OLR. Accordingly, the OLR is allowed in terms of prayer clause (a), which reads as follows:- "(a) Whether in view of para (16) above, this Hon'ble Court may be pleased to direct that the aforesaid company viz., Shingijutsu Global Consulting (India) Private Limited (In Vol. Liqn.) may be treated as dissolved from the date of submission of this report to this Hon'ble Court in terms of provisions of Section 497(6) of the Companies Act, 1956."
