Date: 4th May, 2016 MINUTES OF THE ORDER UPON the application of the Applicant Company abovenamed by a Summons for Direction AND UPON HEARING Mr. Rahul R. Mahajan, Advocate for the Applicant Company, AND UPON READING the Affidavit Dated 31st March, 2016, Mr. Sanjay Mehta, Authorised Signatory of the Applicant Company, in support of the Summons for Direction and the Exhibits therein referred to, IT IS ORDERED:-

That the convening and holding of the meeting of the Equity Shareholders of the Applicant Company to consider and approve the proposed Scheme of Arrangement between Master Voss International Projects Private Limited, the Demerged Company and Prudential Global Logistics Private Limited, the Resulting Company is dispensed with in view of the consent given by all the five Equity Shareholders of the Applicant Company, which is annexed as Exhibits "G-1" to "G-5" to the Affidavit in support of the Summons for Directions.

That the convening and holding of the meeting of the Secured Creditors of the Applicant Company to consider and approve the proposed Scheme of Arrangement between Master Voss International Projects Private Limited, the Demerged Company and Prudential Global Logistics Private Limited, the Resulting Company is dispensed with in view of the averment made in paragraph 17 of the Affidavit in support of the Summons for Directions. The Applicant Company undertakes to give individual notice of the date of hearing of Petition to all its Secured Creditors by Registered Post A.D and also publish notice of the date of final hearing of the Petition once each in "Free Press Journal" in English and "Navshakti" in Marathi, both having circulation in Mumbai. Publication in Maharashtra Government Gazette is dispensed with. The said undertakings are accepted.

That the convening and holding of the meeting of the Unsecured Creditors of the Applicant Company to consider and approve the proposed Scheme of Arrangement between Master Voss International Projects Private Limited, the Demerged Company and Prudential Global Logistics Private
Limited, the Resulting Company is dispensed with in view of the averment made in paragraph 18 of the Affidavit in support of the Summons for Directions. The Applicant Company undertakes to give individual notice of the date of hearing of Petition to all its Unsecured Creditors by Registered Post A. D. and also publish notice of the date of final hearing of the Petition once each in "Free Press Journal" in English and "Navshakti" in Marathi, both having circulation in Mumbai.
