Heard learned counsel for the official liquidator. By this Official Liquidator's Report (OLR), the official liquidator prays for the following direction:

"a) Whether in view of para. (13) above, this Hon'ble Court may be pleased to direct that the aforesaid company viz., M/s. Raivatgiri Shares and Stock Broking Private Limited (in vol. liqn.) be treated as dissolved from the date of submission of this report to this Hon'ble Court in terms of provisions of section 497(6) of the Companies Act, 1956;" 2.

The learned counsel for the official liquidator invited attention of this Court to the relevant documents filed alongwith the OLR. These are resolutions of the company, which is voluntarily winding up, declaration of solvency, statement showing assets at estimated realizable values and 1/2

3_OLR_53_24.doc liabilites, liquidator's statement of account of the winding up, no objection certificate issued by the Deputy Commissioner of Income Tax-4(2)(1), Mumbai and a status report given by the Assistant Registrar of Companies, Maharashtra, Mumbai, specifically stating that there are no charges/prosecution and complaints pending against the said company seeking voluntary liquidation.

Having perused the said documents and contents of the OLR, this Court is satisfied that the above-quoted direction prayed for in the present OLR, can be granted.

Accordingly, the OLR is allowed in terms of prayer clause (a) quoted above.
