Mr. Kohli appearing for respondent states that the Court may pass an order of winding up against the respondent company-Prime Broking Company (India) Limited. On record is an affidavit of one Vishwajit Mhatre affirmed on 30th January 2017 confirming advertising the petition in Free Press Journal and Navshakti. Mr.Vishwajit Mhatre has also filed an affidavit dated 22nd February 2017 confirming publication of the petition in Maharashtra Government Gazette. Notice under Rule 28 of the Companies (Court) Rules, 1959 has been waived.

In view of above, company petition is allowed in terms of prayer clauses (a) and (b) which read as under :- Shraddha Talekar PS 1/2

212.cp.3.2015.doc "(a) that the Respondent Company Prime Broking Company (India) Limited, be ordered and directed to be wound up by the Hon'ble Court under the provisions of the Companies Act, 1956 and under the orders and direction of this Court.

(b) that the Official Liquidator, High Court, Bombay or some other fit and proper person be appointed as the Liquidator of the Respondent Company, i.e., Prime Broking Company (India) Limited, with all powers under the Companies Act, 1956."

Petition accordingly disposed. All interim applications stand disposed.

The Official Liquidator to take immediate steps without waiting for any notification.
