Affidavit dated 6th July, 2015 of Mr. Kanhaiyalal Ramchand Dewani, one of Director of the Applicant Company, in support of the Summon for Direction and the Exhibits therein referred to, IT IS ORDERED:-
1. That the convening and holding the meeting of the Equity Shareholders of the Applicant Company for the purpose of considering and, if thought fit, approving, with or without modification(s) the proposed Scheme of Agreement of Stromag Engineers Ltd.; Applicant / the Transferor Company with Speed-O-Control Pvt. Ltd., the Transferee Company is dispensed with in view of the consent given by all the Seven Equity Shareholders of the Applicant Company, which are annexed as Exhibit "H-1" to "H-7" to the Affidavit in Support of the Summons for Direction.
2. That the convening and holding the meeting of the Secured Creditor and Unsecured Creditor of the Applicant Company for the purpose of considering and, if thought fit, approving, with or without modification(s) the proposed Arrangement embodied in the Scheme of Amalgamation of Stromag Engineers Ltd., Applicant / the Transferor Company with Speed-O-Control Pvt. Ltd. does not arise in view of the of the averment made in paragraph 30 and 31 of the affidavit in Support as there is no Secured Creditor of the Applicant Company.
