The Petition is for leave under Clause XII of the Letters Patent. The Suit is for recovery of amounts claimed to be due under a facility agreement. A material part of cause of action has arisen in Mumbai. The terms of the Agreement are also clear. The Defendants, however, had its registered office outside Mumbai. With leave granted under Clause XII of the Letters Patent, this Court will have the jurisdiction to entertain and try the suit. 2.
