1] The Consent Terms under the signature of the authorized signatory of the Applicant and Official Liquidator, appointed as liquidator in respect of GOL Offshore Limited, are placed on record and marked as 'X' for identification.

(CA-678-2017.doc 2] The Consent Terms record the following terms :- 1.

A sum of Rs.1,59,00,160/- shall be paid by the Applicant to GOL Offshore Ltd. being the company in liquidation and under the control of the Official Liquidator within a period of two weeks from the date of the Order being uploaded by the Court. 2.

Upon receipt of payment, the Official Liquidator shall within 2 working days handover the subject Premises being Unit No.3, 6" Floor, Centre 1 Building, World Trade Centre Complex, Cuffe Parade, Mumbai 400005 on an as-is-where-is basis to a representative of the Applicant. 3.

Any outstanding dues of GOL Offshore Ltd. in respect of the said Premises shall be cleared by the Applicant. The Parties shall have no other claims against each other in respect of the said Premises. 4.

The above statements shall be made as undertakings to the Hon'ble High Court.

All parties agree to act on an authenticated copy of the Order. There shall be no order as to costs. Dated 14th Day of July, 2023. 3] In the wake of Consent Terms, Company Application stands disposed off.

4] At this stage, the Official Liquidator has submitted a report that expenditure of Rs.1,21,000/- has been incurred in the past for valuation of the property and upon such statement coming from the Official Liquidator, the learned senior Counsel Mr. Sen, on instructions, would agree to reimburse the expenditure incurred, to the Official Liquidator, within a period of four weeks from today.
