The proposed Suit is in respect of a Memorandum of Understanding ("MoU") dated 20th June 2015 read with a supplementary MoU dated 10th May 2016. The two MoUs were executed in Mumbai. The properties are outside Mumbai and some of the Respondents are also outside the jurisdiction of this Court. 2.

A material part of cause of action has arisen within the jurisdiction of this Court. With leave granted under Clause XII of the Letters Patent, this Court will have the necessary jurisdiction to entertain and try the suit.
