Sagar Associates, Advocates for the Applicant and UPON READING the Affidavit dated 15th December 2014, of Shivaji

Waghmare, director of the Applicant Company in support of the Company Summons for Direction and the Exhibits therein referred to, IT IS ORDERED: 1.

That the convening and holding the meeting of the Equity Shareholders of the Applicant Company, for the purpose of considering and, if thought fit, approving with or without modification, the proposed Scheme of Amalgamation amongst Essco Power Electronics Private Limited, Neowatt Energy Solutions Company Private Limited and Megatech Power Equipments Private Limited with Consul Neowatt Power Solutions Private Limited and their respective shareholders and creditors is hereby dispensed with, in view of consents given by all the ten Equity Shareholders of the Applicant Company, which are annexed as Exhibits J-1 to J-10 to the Affidavit in support of the Company Summons for Direction. 2.

That the convening and holding the meeting of the Secured Creditors of the Applicant Company, for the purpose of considering and, if thought fit, approving with or without modification, the proposed Scheme of Amalgamation amongst Essco Power Electronics Private Limited, Neowatt Energy Solutions Company Private Limited and Megatech Power Equipments Private Limited with Consul Neowatt Power Solutions Private Limited and their respective shareholders and creditors, is hereby dispensed with in view of consent given by the secured creditor of the Applicant Company, which is annexed as Exhibit 'L' to the Affidavit in support of the Company Summons for Direction.

That the convening and holding the meeting of the Unsecured Creditors of the Applicant Company, for the purpose of considering and, if thought fit, approving with

or without modification, the proposed Scheme of Amalgamation amongst Essco Power Electronics Private Limited, Neowatt Energy Solutions Company Private Limited and Megatech Power Equipments Private Limited with Consul Neowatt Power Solutions Private Limited and their respective shareholders and creditors is dispensed with in view of the averment made in paragraph 14 of the Affidavit in support interalia stating that the assets of the Transferee Company post amalgamation will be more than sufficient to meet the liabilities of any existing or future creditor of the Transferee Company as and when they arise and that there is no likelihood that any creditor of the Applicant would be prejudiced or adversely affected as a result of the Scheme being sanctioned and that the Applicant undertakes to issue individual notice of hearing of the Petition by RPAD to all its unsecured creditors and also to publish the same in two newspapers viz, 'Indian Express' in English language and translation thereof in 'Loksatta' in Marathi language, both having circulation in Pune. The undertaking is accepted.
