Upon the application of the applicant/Transferee Company, upon hearing Shri Sudin Usgaonkar, learned Counsel appearing for the applicant/Transferee Company, and perusal of the Affidavit dated 13th January, 2015 of Shri Sadashiv Shet, Authorised Signatory of the applicant/Transferee Company, it is ordered : i) That convening and holding of the meeting of the Equity

2 COAPM 3-15 Shareholders, Secured and Unsecured Creditors of the applicant/ Transferee Company, for the purpose of considering and, if though fit, approving, with or without modification (s), the proposed arrangement embodied in the Scheme of Amalgamation of Roopsangam Holdings Limited ("the Transferor Company") with Trade Wings Limited ("the Transferee Company") and their respective Shareholders and Creditors is dispensed with in view of the averments made in paragraphs (18) and

(22) of the Affidavit dated 13th January, 2015 of Shri Sadashiv V. Shet, Authorised Signatory of the applicant/Transferee Company. ii) That the filing of a separate Company Scheme Petition and a separate process by the applicant/Transferee Company for sanctioning of the proposed Scheme of Amalgamation annexed as Exhibit "F" to the present Company Application is, dispensed with in view of the averments made in paragraphs (18), (20), (21), (22) and

(23) of the Affidavit dated 13th January, 2015 of Shri Sadashiv Shet, Authorised Signatory of the applicant/Transferee Company. Iii) The publication in the Official Gazette is dispensed with. Company Application (Main)No.3/2015 stands disposed of. F.M. REIS, J.
