Upon perusing the application of the applicant-Company and upon hearing Shri Nitin Sardessai, learned Senior Counsel appearing for the applicant-Company and the Affidavit dated 18/2/2015 of Shri Ganesh S. Shenoy, Director of the applicant-Company, it is ordered :

1. That the convening and holding of Meeting of the Equity Shareholders of Ganadev Real Estate Private Limited, the Applicant/Transferee Company to consider and approve the Scheme of Amalgamation of Shinzawa Chemicals Private Limited ("the Transferor Company") with Ganadev Real Estate Private Limited ("the Transferee Company") is dispensed with in view of the consent given by all the Equity Shareholders of the Applicant-Company. The consent letters of all the Equity Shareholders of the

COAPM/28/2015 Applicant-Company are annexed as Exhibit "H"-Colly to the Affidavit dated 18/2/2015 of Shri Ganesh S. Shenoy, Director, in support of Summons for Directions.

2. That the convening and holding of the Meeting of the Unsecured Creditors of Ganadev Real Estate Private Limited, the Applicant-Transferee Company to consider and approve the Scheme of Amalgamation of Shinzawa Chemicals Private Limited ("the Transferor Company") with Ganadev Real Estate Private Limited ("the Transferee Company") is dispensed with, in view of the averments made in para 17 of the Affidavit dated 18.02.2015 of Shri Ganesh S. Shenoy, Director in support of the Summons for Directions and the consent letter of the unsecured creditor of the Applicant-Company is annexed as Exhibit "J" to the aforesaid Affidavit dated 18.02.2015.

3. That issue of Notices, Advertisements and Publications in Newspapers and Government Gazette is dispensed with. Company Application (Main) No.28/2015 stands disposed of. F. M. REIS, J.
