Upon perusing the application of the applicant-Company and upon hearing Shri Nitin Sardessai, learned Senior Counsel appearing for the applicant-Company and the Affidavit dated 18/2/2015 of Shri Shyamsunder B. Naik, Director of the applicant-Company, it is ordered :

1. That the convening and holding of Meeting of the Equity Shareholders of Shinzawa Chemicals Private Limited, the Applicant/Transferor Company to consider and approve the Scheme of Amalgamation of Shinzawa Chemicals Private Limited ("the Transferor Company") with Ganadev Real Estate Private Limited ("the Transferee Company") is dispensed with in view of the consent given by all the Equity Shareholders of the Applicant/Transferor Company. The consent letters of all the Equity Shareholders are

COAPM/27/2015 annexed as Exhibit "D"-Colly to the Affidavit dated 18/2/2015 of Shri Shyamsunder B. Naik, Director, in support of Summons for Directions.

2. That the convening and holding of the Meeting of the Creditors of Shinzawa Chemicals Private Limited, the Applicant-Transferor Company to consider and approve the Scheme of Amalgamation of Shinzawa Chemicals Private Limited ("the Transferor Company") with Ganadev Real Estate Private Limited ("the Transferee Company") is dispensed with, as the same is not required in view of the averments made in para 16 of the Affidavit dated 18.02.2015 of Shri Shyamsunder B. Naik, Director in support of the Summons for Directions stating that the Applicant/Transferor Company has no secured or unsecured creditors.

3. That issue of Notices, Advertisements and Publications in Newspapers and Government Gazette is dispensed with. Company Application (Main) No.27/2015 stands disposed of. F. M. REIS, J.
