This Company Application is on a report of the Official Liquidator. It seeks a direction that the company in liquidation M/s. Jamport Printers Pvt. Ltd., may be treated as dissolved from the date of the order to be passed by this Court.

The Company has filed an application for voluntary liquidation on the basis of a resolution of the Board of Directors and its Extra Ordinary General Meeting. The records maintained with the Registrar of Companies and the observations in the report of the Liquidator, indicate that the Company has filed its annual returns upto date. The company is a private unlisted company, limited by shares. It does not have any active charges as per the master data in the MCA website. The Shareholders of the Company in its Extraordinary General Meeting held on 5th September, 2016,

2 coapm15-19dt.07.06.19 resolved to wind up the Company voluntarily and appointed Mr. Nirav H. Desai as the Voluntary Liquidator. The Voluntary Liquidator has filed with the Registrar of Companies Liquidator's Statement of Accounts in Form 156 for the period from 01.08.2016 to 31.03.2017. The Registrar has given his no objection certificate vide letter No.VL/ROC,Goa/Jampure/3181 dated 13.11.2018, confirming compliance with the provisions of Sections 484 to 551 of the Companies Act, 1956 (the "Act") and filing of Forms No.149 to 157. No prosecution or a complaint is pending against the Company. The Directors of the Company have filed a declaration of solvency as per Rule 13 and Section 488 of the Act. The Deputy Commissioner of Income-tax, Vapi Circle, Vapi has forwarded the no objection certificate vide letter No.

Vapi/ DCIT/Vapi Circle/201819/343 dated 18/09/2018. The Official Liquidator has confirmed that nothing objectionable has been found in conduct of the proceedings of voluntary winding up of the Company by the Voluntary Liquidator and the affairs of the company do not seem to have been conducted in a manner prejudicial to the interest of the members or the public .

In the premises, the Company Application is allowed in terms of prayer clause (a) of the report, by declaring that the Company, namely, M/s. Jampore Printers Private Limited (in voluntary liquidation) shall be treated as dissolved with effect from

The Application is disposed of accordingly.
