1. Heard Mr. Sudesh Usgaonkar, learned Counsel appearing for the appellant and Mr. S.G. Desai, learned Senior Counsel appearing for the respondent.

2. After hearing the learned counsel appearing for the respective parties, time was sought by the parties to explore the possibility of settlement with regard to the disputed claim in the above appeal.

3. When the matter was taken up for hearing, both the learned counsel pointed out that the parties have amicably settled their disputes and filed Minutes of the order along with annexures duly signed by the authorised persons of the appellant and the respondent and the learned counsel for the appellant and the respondent. Both the authorised representatives of the appellant and the Managing

COA/2/2007 Director of the respondent are present in the Court and admitted and accepted the contents of the terms recorded therein. As the matter has been amicably settled, the Minutes of the order are accepted and taken on record and marked "X" for identification.

4. Hence, the Company Appeal is disposed of in terms of the Minutes of the order and marked "X" for identification.

5. At the request of Mr. Sudesh Usgonkar, learned counsel for the appellant and by consent of Mr. S.G. Desai, learned Senior Counsel for the respondent, the Registry is directed to refund the amount with accrued interest thereon in terms of Claus 4 of the Minutes of the order.
