Heard Mr. P. Rao, learned counsel appearing for the Applicant/Transferee Company. Perused the records.

2. Upon perusal of the application of the Applicant/Transferee Company and upon hearing Mr. P. Rao, the learned counsel appearing for the Applicant/Transferee Company and upon reading the present Company Application along with the affidavit dated 08.06.2016 of Mr. Shrinivas Nayak, Director of the Transferee Company, it is ordered that the meeting of equity shareholders of the Applicant abovenamed for considering and if thought fit, approving with or without modifications, the Scheme of Amalgamation of the Applicant Company with Apar Finlease Private Limited, be and is hereby dispensed with in view of the averments made in paragraphs 19 and 20 of the affidavit in support of the summons for direction

COAPM/38/2016 affirmed on 08.06.2016.

3. It is ordered that the meeting of the unsecured creditors of the Applicant abovenamed for considering and if thought fit, approving with or without modifications, the Scheme of Amalgamation of the Applicant Company with Apar Finlease Private Limited, be and is hereby dispensed with in view of the averments made in paragraphs 21 and 22 of the affidavit in support of the summons for direction affirmed on 08.06.2016.

4. It is ordered that in view of the aforesaid, the publication of notices in the Official Gazette or otherwise stands dispensed with.
