ORAL ORDER :

Upon hearing Shri Jitendra Supekar, learned Counsel appearing for the applicant/Transferee Company, and on perusal of the Affidavit dated 21st December, 2015 of Natarajan Sriram, Authorised Signatory of the applicant/Transferee Company, it is ordered : i) That convening and holding of the meeting of the Equity Shareholders of Molbio Diagnostics Private Limited, the Applicant Company to consider and approve the Scheme of Amalgamation of the Bigtec Innovations Private Limited with Applicant Company is dispensed with in view of the consent given by all the Equity

2 COAPM 4-16 Shareholders of the Applicant Company and in view of the averments made in paragraphs 21. The consent letters of the Equity Shareholders are annexed as Annexure "G" (Colly) to the Affidavit dated 21.12.2015 of Natarajan Sriram, Director, in support of summons for directions.

ii) That the convening and holding of the Meeting of the unsecured creditors of Molbio Diagnostics Private Limited, the Applicant Company to consider and approve the Scheme of Amalgamation of the Bigtec Innovations Private Limited with Applicant Company is dispensed with in view of the averments made in paragraphs 23 and 24 of the Affidavit dated 21.12.2015 of Natarajan Sriram, Director, in support of summons for directions and the consent letters of the unsecured creditors of the Applicant Company annexed as Exhibit "I" (Colly) to the aforesaid Affidavit dated 21.12.2015.

iii) The publication in the Government Gazette is dispensed with.
