By this application, the Official Liquidator seeks dissolution of M/s.Ockham India Clinical Research and Data Services Private Limited, a company in voluntary liquidation.

In the report filed in support of the application, the Official Liquidator has stated that the voluntary liquidator, who was appointed pursuant to special resolution dated 30.12.2016, reported to the Official Liquidator that the affairs of the company were fully wound up and that the final meeting was held on 27.02.2018. At such final meeting, the final accounts were laid before the members. After adverting to the events that followed the resolutions for voluntary liquidation, it is stated in the report that the estimated value of assets was Rs.1,43,04,890/- and the total liabilities were Rs.11,00,000/-. After realizing a sum of Rs.1,38,88,845/- from the assets, the liabilities were discharged and expenditure was incurred towards liquidator's remuneration, cost of publication and other expenses. 1 / 3

The surplus of Rs.1,34,64,867/- was distributed to the shareholders. The Official Liquidator has attached the final statement of accounts that were filed with the Registrar of Companies. The NOC provided by the ROC on 29.08.2018 and the NOC of the Income Tax Department dated 23.03.2017 are also annexed to the report.

In these circumstances, the Official Liquidator stated that the company may be dissolved because the scrutiny of the books of accounts and records of the company in liquidation did not provide any reason to conclude that the affairs of the company were conducted against the interest of its members or public interest.

4. Upon examining the report of the Official Liquidator and the annexures thereto, I find no legal impediment to issuing an order to dissolve the company in voluntary liquidation.

5. Accordingly, this application is allowed by ordering the dissolution of M/s.Ockham India Clinical Research and Data Services Private Limited, a company in voluntary liquidation. Consequently, 2 / 3

the Official Liquidator is directed to complete all compliances in the above regard.
