Arbitration Original Petition (Com.Div.) filed under Section 11(6) (a) of the Arbitration and Conciliation Act, 1996, praying to appoint an Arbitrator to adjudicate the disputes arisen between the petitioner and respondents.

For Petitioner : Ms.Vandana for M/s.Surana & Surana For Respondents : Mr.S.Namasivayam ***** COMMON ORDER These petitions have been filed under Section 11 of the Arbitration and Conciliation Act, 1996 [for brevity 'the Act'] for appointment of a Sole Arbitrator in order to adjudicate the disputes between the parties.

2. Insofar as Arb.O.P.(Com.Div.) No.106 of 2026 is concerned, what is relied upon by petitioner is only the Assets Purchase Agreement dated 27.03.2025. The petitioner herein is not disputing the arbitration clause contained in this agreement.

3. Insofar as Arb.O.P.(Com.Div.) No.124 of 2026 is concerned, the petitioner is relying upon the Assets Purchase Agreement dated 27.03.2025, Employment Agreements (3) dated 01.04.2025 and Nondisclosure, Non-compete & Non-Solicit Agreements (3) dated 01.04.2025 3/6

and also relying upon the arbitration clause contained in those agreements and seeking for referring the dispute to the Sole Arbitrator.

4. It is evident that disputes have arisen between the parties and those disputes will have to be dealt with and decided consummately covering all the agreements between the same parties. Hence, even though the petitioner in Arb.O.P.(Com.Div.) No.124 of 2026 has placed reliance upon three sets of agreement and the petitioner in Arb.O.P. (Com.Div.) No.106 of 2026 is relying upon one such agreement viz., Assets Purchase Agreement dated 27.03.2025, the fact remains that there is a valid agreement between the parties in line with Section 7 of the Act, which contains an arbitration clause. In view of the above, it will be open to the Sole Arbitrator to decide the claim with respect to each of the agreement and proceed further in accordance with law.

In the light of the above discussion, this Court appoints Mr.Anirudh Krishnan, Shop No.16, Luz Golden Enclave, 180, TNHB, Luz Church Road, Mylapore, Chennai - 600 004 [Mobile No.72990 88824] as the sole Arbitrator and the sole Arbitrator is requested to adjudicate the arbitral disputes that had arisen between the parties and render arbitral 4/6

award by holding sittings in the 'Madras High Court Arbitration Centre under the aegis of this Court' (MHCAC) as per Madras High Court Arbitration Proceedings Rules 2017 and fee of sole Arbitrator shall be in accordance with the Madras High Court Arbitration Centre (MHCAC) (Administrative Cost and Arbitrator's Fees) Rules 2017.
