ORDER

This Writ Petition has been filed for the following reliefs:- "directing Respondent No. 1 to pass an order permitting withdrawal of the Scheme between the Petitioners and/or to recall its order bearing File No.5/M-29/CAA-11/RD(SR)/Sec.233 of CA 2013/2025-26, dated November 07, 2025, passed under Section 233 of the Act read with Rule 25(5) of the CAA Rules, within a time-bound period or b) in the alternative, issue a writ of declaration or any other appropriate writ, order or direction in the nature of a declaration, declaring that the Scheme as confirmed by the order bearing File No.5/M-29/CAA-11/RD(SR)/Sec.233 of CA 2013/2025-26, dated November 07, 2025, passed by Respondent No. 1 is ineffective and inoperative in law."

2. On 18.02.2026, a memo dated 17.02.2026 has been filed by the petitioners stating as follows:- "1. In view of the submissions made by Respondents in paragraphs 2 and 3 of their counter affidavit dated 16.02.2026 that the Scheme of Arrangement between the Petitioners stood registered on 07.11.2025 and has come into effect by operation by law under Section 233 of the Companies Act, 2013, the present Writ Petition may be disposed of in terms thereof with liberty to Petitioner No. 1 to pursue such remedies as may be available in law, including entering into a fresh scheme of arrangement for demerger and/or undertaking a slump sale.

2. The Petitioner No. 1 may further be permitted to inform the relevant authorities of the Scheme and this order by filing appropriate forms within a period of 30 days from the date of receipt of a copy of this order."

3. On 18.02.2026, the respondent's counsel sought time to obtain instructions on the memo filed.

4. Today, the learned counsel appearing on behalf of the respondents, on instructions, submitted that he has no objection to the memo being recorded.
