Based on the pleadings of the plaintiff and the defendants, the following issues are framed by this Court.

(i) Whether the plaintiff is entitled to the suit claim of Rs.1,07,34,095/- together with interest at 21% per annum on Rs.60,67,277/-?

(ii) Whether the set off of Rs.35,85,212.93/- claimed by the defendants is maintainable?

(iii) Whether the defendants are entitled to adjustment of incentive and bonus as claimed in the written statement and counter claim? (iv) Whether the set off of Rs.35,85,212.93/- claimed by the defendants is barred by limitation?

(v) Whether the counter claim and waiver of interest claimed by the defendants are maintainable?

(vi) Whether the counter claim and waiver of interest claimed by the defendants are barred by limitation?
