1. This is an application filed to seek correction in clauses, 1.11 and 1.13, Part-I of the proposed scheme, filed in Company Petition : 260 of 2016.
2. According to the applicant, the error, which occurred, is confined to the term, transferor and transferee company being used interchangeably, in the aforementioned clauses of the proposed scheme.
3. Issue notice. Mr.K.Ramanamoorthy, accepts notice, on behalf of the Regional Director. He says, he does not wish to file a reply, as the application, seeks, only, correction of typographical errors.
4. Likewise, Mr.Ramaiah, the learned Official Liquidator, accepts notice. He says, he has no objection, to the prayer made in the application.
5. As per the averment made in the application, the existing clauses 1.11 and 1.13, which contain the error, read as follows :
"1.11 "SBM Services" or "Amalgamated Company" or "Transferee Company" means Springer SBM services Limited, a private company incorporated under the provisions of Mauritius Companies Act, 2001 having its registered office at IFS Court, Twenty Eight, Cyber City, Ebene, Mauritius.
1.13 "SPSPL" or "Amalgamating Company" or Transferor Company" means scientific Publishing Service Private Limited, a company incorporated under the provisions of the Indian Companies Act, 1956 having its registered office at No.6 & 7, 5th Lane, Dr. Radhakrishnan Salai, Mylapore, Chennai - 600 004."
6. The applicant, thus, avers that they should, instead read as given below :
"1.11 "SBM Services" or "Amalgamating Company" or "Transferor Company" means Springer SBM services Limited, a private company incorporated under the provisions of Mauritius Companies Act, 2001 having its registered office at IFS Court, Twenty Eight, Cyber City, Ebene, Mauritius.
1.13 "SPSPL" or "Amalgamated Company" or
Transferee Company" means scientific Publishing Service Private Limited, a company incorporated under the provisions of the Indian Companies Act, 1956 having its registered office at No.6 & 7, 5th Lane, Dr.Radhakrishnan Salai, Mylapore, Chennai - 600 004."
7. As prayed, permission is granted to the applicant, to incorporate the corrected clauses 1.11 and 1.13 in the proposed scheme.
8. To be noted, the amended proposed scheme, has also been filed by the applicant, by way of a fresh typed set of documents. The amended proposed Scheme, is accordingly, taken on record.
9. The application is disposed of in the aforesaid terms. 09.11.2016 gya
