O R D E R

1. Parties have placed before me a joint memo of compromise whereby, they have settled the dispute, which is the subject matter of the captioned petition.

2. The joint memo of compromise has been signed by the Director of the petitioner company and the authorised signatory of the respondent company.

2.1. Furthermore, the joint memo of compromise bears the signature of the counsel for the parties herein.

3. I have perused the terms of compromise and the same is lawful.

4. The captioned petition is, accordingly, disposed of in terms set out in the joint memo of compromise.

4.1. In case, there is a default, as envisaged in the terms set out in the joint memo of compromise, the petitioner will have liberty to revive the company petition.

6.1 Memo of compromise is taken on record.
