Zenox Lifesciences Limited, No.48/3/1, 1st Floor, Arcot Road, Muthu Kumarappa Street, Saligramam, Chennai-600 093 ..Petitioner/Applicant C.P.No.161/2015:

The Company Petitioner praying this Court that the Zenox Lifesciences Limited be wound up by and under the orders and directions of this Court under the Provisions of the Companies Act, 1956.

Comp.A.No.385/2015:

The Company Applicant praying this Court to Appoint Official Liquidator, High Court, Madras as Provisional Liquidator of the Petitioner Company.

This company petition coming on this day before this court for hearing in the presence of Mr.H.Karthik Seshadri,

Advocate for the petitioner in C.P.No.161/2015 and for the applicant in C.A.No.385/2015 and upon reading the petition and the Judge's Summons and affidavit of Dr.Arul Raj filed herein and the advertisements of the Company Petition having been made in one issue of English Daily News paper Viz., "Indian Express" dated 14/05/2015 and in one issue of Tamil Daily News Paper Viz., "Dhina Mani" dated 14/05/2015 and in the Tamil Nadu Government Gazatee, and the reading the order dated 13/4/2015 made in C.P.No.161/2015.

It is ordered as follows:

1. That the company Viz M/s.Zenox Life Sciences Limited be and hereby is ordered to be wound up this Court under the provisions of the Companies Act 1956 and

2. That the Official Liquidator do, as liquidator of the company aforesaid forthwith take charge of all the properties and effects of the said company.

3. That the Official Liquidator shall cause a sealed copy of this order to be served on the company by prepaid registered post.

4. That the petitioner do advertise within 14 days from this date a notice in prescribed form of the making of this order in one issue of the English Daily Newspaper Viz., "Indian Express" and in one issue of Tamil Daily News paper Viz "Dhina Mani".

5. That the said petitioner do serve a certified copy of the order on the Registrar Companies not later than one month from this date.

6. That the Official Liquidator, High Court, Madras be and hereby is appointed as liquidator of the petitioner company.

7. That the Official Liquidator, High Court, Madras be and hereby is directed to take charges of the assets of the petitioners company.

8. That the petitioner herein be and hereby is also directed to furnish the books of accounts to the Official Liquidator within 21 days from the date of receipt of the copy of the order.

9. That the petitioner herein be and hereby is directed to deposit a sum of Rs.10,000/- (Rupees ten thousand only) to the Official Liquidator towards the initial expenses.
