Tamil Nadu 600 030 ..Respondents Prayer: Petition filed u/s.11(5) r/w.sec.11(4) of the Arbitration and Conciliation Act, 1996 to appoint a sole arbitrator to adjudicate the disputes between the Petitioner and the Respondents in terms of the Arbitration Agreement dated 26.10.2019 and to pay costs.

ORDER

This petition has been filed under Section 11(5) r/w.sec.11(4) of the Arbitration and Conciliation Act, 1996 [for brevity 'the Act'] for appointment of an Arbitrator to decide the dispute and differences between the petitioner and the respondents in terms of the Arbitration Agreement dated 26.10.2019.

2. When the petition came up for hearing on 17.11.2025, this Court passed the following order:

This petition has been filed under Section 11 (4) of the Arbitration and Conciliation Act, 1996 [hereinafter referred to as 'the Act'] to appoint an arbitrator to resolve the dispute arising out of the Arbitration Agreement dated 26.10.2019.

2. The agreement provides for referring the dispute for Arbitration under clause H and the same is extracted hereunder:- "H) ARBITRATION Any dispute arising between the parties to this agreement shall be referred to arbitration as per the Indian Arbitration and Conciliation Act, 1996 and its amendments. The arbitration shall be conducted by a Sole Arbitrator appointed by the Company. The language of Arbitration shall be English and the Arbitration shall be conducted in Chennai at a location to be indicated by the Company. All annexures to this agreement shall be deemed to be part and parcel of this agreement including any subsequent communications from the Company with regards to __________Page 2 of 5

the subject matter of this agreement Annexure 1 - Table depicting Product types and cost and Description of services provided by SERVICE PROVIDER. Annexure 2 - Preconditions."

3. The trigger notice under Section 21 of the Act was issued on 04.06.2024 and the same has also been received by the respondents. Since there was no response, the present petition has been filed before this Court.

4. Notice to the respondents returnable by 15.12.2025. Private notice is also permitted.

Post this petition for hearing on 15.12.2025."

3. The 2nd respondent was served and a counsel entered appearance on behalf of the 2nd respondent and this was recorded by this Court in the earlier order passed on 05.01.2026.

4. It is brought to the notice of this Court that the 1st respondent company is not in existence and that the respondents 3 and 4 are none other than the Directors of the 2nd respondent company. It is also seen that all the invoices were raised only in the name of the 2nd respondent company and the claim of the petitioner is against the 2nd respondent company. 5.Heard the learned counsel for the petitioner and learned counsel appearing for the 2nd respondent and carefully perused the materials available on record.

6. It is seen that there is already an agreement between the parties in line with section 7 of the Act which contains Arbitration Clause. Hence, this Court is inclined to pass final orders in this petition.

7. In the light of the above discussion, this Court appoints Dr.R.Gouri, , Advocate, 22, Law Chambers, High Court Buildings, Chennai 600 104 [Mobile No.9840733669] as the sole Arbitrator and the sole Arbitrator is requested to adjudicate the arbitral disputes that had arisen between the parties and render arbitral award byholding sittings in the 'Madras High Court Arbitration Centre under the aegis of this Court' (MHCAC) as per Madras High Court Arbitration Proceedings Rules 2017 and fee of sole Arbitrator shall be in accordance with the Madras High Court Arbitration Centre (MHCAC) (Administrative Cost and Arbitrator's Fees) Rules 2017. Accordingly, this petition is disposed of.
