O R D E R

This writ petition has been filed for the issue of a writ of mandamus directing the respondents to consider the representation dated 10.02.2025 made by the petitioner, wherein the petitioner is seeking for providing comprehensive report of the shareholding and capital contribution made in the 2 nd respondent company.

2. Heard the learned counsel for the petitioner and the learned counsel appearing for the 1 st respondent and perused the materials placed on record.

3. The grievance of the petitioner is that he is a shareholder in the nd respondent company and he holds substantial portion of shares. However, after the change of management in the 2 nd respondent company, there has been a substantial increase in the authorised share capital without due notice to the shareholders and without complying with the procedure under the Companies Act. The petitioner made a representation to the 1 st respondent in this regard on 10.02.2025 seeking for providing the shareholding and capital contribution in the 2/4

nd respondent company. Since the same was not acted upon, the present writ petition has been filed before this Court.

Taking into consideration the facts and circumstances of the case and the materials placed before this Court, there shall be a direction to the 1 st respondent to hear the petitioner and the 2 nd respondent, after issuing notice and deal with the petitioner's representation dated 10.02.2025 on merits and in accordance with law and in line with the relevant rules and regulations and take a decision within a period of six weeks from the date of receipt of a copy of this order.
