Comp.A.No.178 of 2019 in C.P.Nos.115 and 127 of 1974 N.SATHISH KUMAR, J.

This application has been filed by the Official Liquidator seeking to (a) to take this report of the record (b) to pass an order that it is just and reasonable to dissolve M/s.Vanguard Investments Limited (Under Liquidation) finally and accordingly to pass appropriate and consequential orders; (c ) to pass an order permitting civil suits and execution petition filed by the Secured Creditors can be decided independently by the concerned Courts.

(d) to pass an order permitting the Official Liquidator to file the final account without auditing as nothing survive in the company under liquidation.

(e) to pass an order permitting the Official Liquidator to meet all the expenses of liquidation process including the present application out of the funds of the company under liquidation and to transfer the amount whatsoever remaining in the credit of the account of the company under liquidation to the Undistributed Assets Account as envisaged under section 555(1) of the Act.
