Mr.D.S.Vipula Order This Writ Petition has been filed against the impugned show cause notice of the 1st respondent dated 13.02.2026 and quash the same and consequently direct the second respondent to execute a sale deed in favour of the petitioner in terms of the Allotment order dated 11.05.2022.

Case of the petitioner is that the petitioner Company had applied to the 2nd respondent for allotment of an industrial plot vide online application dated 26.03.2022 and consequently the 2nd respondent allotted Plot Nos.87, 88, 89 and 90 measuring 2.196 acres, located in the SIDCO Industrial Estate at South Venganallur and Cholapuram Village, Rajapalayam, to the petitioner for a consideration of Rs.67,00,500/- vide Allotment Order dated 11.05.2022. On the date of Allotment Order, there were three Directors, including the petitioner, appointed in the petitioner's Company. Thereafter, in 2025, for ease of administration, the petitioner Company decided to be managed by only two directors, viz.,, G.Shamugavel, the petitioner herein and one Mr.B.Amaran and the same was intimated to the 2nd respondent.

3. Subsequently, the 1st respondent issued a Memo dated 18.09.2025, directing the petitioner's Company to remit a sum of Rs.41,45,400/- towards

differential land cost, along with a fee of Rs.1,77,000/- for permitting the said changes, on the ground that the change in the Directors of the Petitioner's Company amounts to a change in the Constitution of the Company. In response, the petitioner's Company submitted a detailed reply dated 26.09.2025 disputing the said demand. However, notwithstanding the same, the 1st respondent issued the impugned show cause notice dated 13.02.2026. Challenging the same, the present writ petition is filed.

Learned counsel for the petitioner submitted that under Section 9 of the Companies Act, it is laid that the company, from the date of its incorporation, is a distinct person, separate from its shareholders and directors. Therefore, the ownership of the land shall vest in the company, not in the individual shareholders or directors. Therefore, the demand for payment of nearly 70% of the original land cost, due to a change in directorship, is therefore, not justified.

5. Though very many grounds have been raised, the learned counsel for the petitioner limited his request to the extent that this Court may issue direction to the 1st respondent to provide opportunity of personal hearing to the petitioner while conducting enquiry.

6. Heard the learned counsel for the petitioner. Since no adverse orders are passed against the respondents, notice to them is not necessary. This Court

is inclined to dispose of this writ petition based on the available records.

7. In view of the limited relief sought by the petitioner, this Court without going into the merits of the matter, directs the 1st respondent to afford the petitioner an opportunity of personal hearing and complete the enquiry within a period of two weeks from the date of receipt of a copy of this order and pass appropriate orders within a further period of two weeks in accordance with law.
