The Official Liquidator v. Nil

SENTHILKUMAR RAMAMOORTHY, J By this application, the Official Liquidator seeks dissolution of M/s.Mercury Filaments Private Limited, a company in voluntary liquidation.

2. In support of this application, a report dated 14.09.2021 is placed on record. In the said report, it is stated that the above mentioned company was placed in voluntary liquidation pursuant to the special resolution passed on 22.03.2010 and Smt. Jayashree Sridhar was appointed as voluntary liquidator.

3. The said voluntary liquidator reported to the Official Liquidator that the affairs of the company had been fully wound up and that the final meeting was held on 11.04.2011. A copy of the final accounts was submitted to the Official Liquidator and the same is attached as Annexure VII to the report. After examining the final accounts, the Official Liquidator has stated that a sum of Rs.18,84,111/- was realized in course of liquidation and that expenses were defrayed therefrom. After paying the amounts due to the creditors, it is further stated that a sum of Rs.18,46,008/- was disbursed to the contributories. 1/3

4. The Official Liquidator has annexed documents evidencing compliance with the requirements of the Companies Act in relation to voluntary liquidation. In addition, the NOCs issued by the Income-tax Department and the ROC are annexed.

5. Upon considering the above report and the annexures thereto, there is no legal impediment to issuing an order to dissolve the company in voluntary liquidation. The Official Liquidator has also stated that the scrutiny of the books of accounts do not disclose any instance of the affairs of the company being conducted against the interest of its members or public interest.

5. In the result, M/s.Mercury Filaments Private Limited, a company in voluntary liquidation, is hereby dissolved. The Official Liquidator is directed to complete all necessary compliances in this regard. 14.10.2022 kal 2/3
