By this application, the Official Liquidator seeks dissolution of Insona Enterprises Private Limited (a company in voluntary liquidation). In support of this application, a report dated 13.09.2022 has been filed. In the said report, it is stated that Insona Enterprises Private Limited (a company in voluntary liquidation) entered voluntary winding up pursuant to the special resolution of its members on 22.07.2016. The Liquidator of the said company submitted a report to the Official Liquidator stating that the affairs of the company had been fully wound up and that the final meeting in relation thereto was held on 02.02.2017. The Official Liquidator has annexed to the report documents evidencing compliance with requirements in the Companies Act, 1956 in relation to voluntary liquidation. He has also annexed the final statement of accounts filed in Form-156 as annexure - 7. The NOC issued by the ROC on 02.06.2022 is annexed as annexure - 8. The NOC issued by the Income Tax Department on 29.09.2016 is also annexed.

2. Upon closely examining the above report and the annexures thereto, there is no legal impediment to issuing an order to dissolve the company in voluntary liquidation.

3. For reasons set out above M/s.Insona Enterprises Private Limited, a company in voluntary liquidation, is hereby dissolved.

4. The Official Liquidator is directed to complete all compliances in this regard.

5. Accordingly, this application is allowed.
